This role supports WMC’s continued growth in battery materials (BM) and nuclear fuel (NF) transactions, ensuring that commercial activities are structured, negotiated and executed with legal precision and strategic insight. Your primary focus will be the BM division; supporting our NF and asset development divisions as needed.
As Senior Legal Counsel, you will play a key role in supporting WMC’s growing portfolio of BM transactions, working closely with the BM commercial team to draft, negotiate and advise on complex agreements. This position offers exposure to high-value transactions in a fast-paced, international and innovative environment. You will be part of a nimble, high-performing legal team of currently 4 people, collaborating across commercial, finance and operations teams to ensure legally sound and commercially effective outcomes.
• Transactional Support: Draft, review, negotiate and advise on a broad range of agreements, including BM/NF sale and purchase agreements, long-term offtake contracts, joint ventures and financing structures, as well as related term sheets/LOIs, with a primary focus on the BM division.
• Strategic Legal Advice: Provide legal risk assessments and recommend actions to mitigate risks related to commercial transactions, compliance and regulatory matters.
• Legal Operations & Innovation: Support legal function optimization, including automation of processes, maintaining WMC’s legal template library and integrating AI-driven solutions.
• Cross-functional Collaboration: Work closely with internal stakeholders – including commercial, finance and operations teams – as well as external legal advisors to develop practical, business-oriented solutions.
• Versatile Legal Support: As part of a dynamic, solutions-oriented legal team in a fast-growing company, assist with broader legal matters as needed, such as employment, compliance and corporate governance.
• 6-10 years of experience as a lawyer/in-house counsel, with a strong focus on contract drafting and negotiation.
• Minimum of 3 years’ experience at a top tier law firm.
• Experience in energy, commodities or trading sectors, as well as postgraduate contract drafting qualification (e.g., Grotius Nationaal & Internationaal Contracteren) are a plus.
• Proven ability to work independently, think critically, problem-solve and partner effectively with commercial teams.
• Ability to stand firm in negotiations with commercial teams while maintaining a collaborative approach.
• Fluent in English; additional languages are a plus.
• Ability to adapt to a changing environment while building relationships across teams.
• Willingness to travel; potentially willing to relocate to Switzerland.
